Terms of Service

These Terms of Service ("Terms") govern your use of panoramicnuggets.com and the marketing services and software platform provided by Areli Consulting LLC, doing business as Panoramic Nuggets ("Panoramic Nuggets," "we," "us"). By using the website or Services, you agree to these Terms. If you use the Services on behalf of a business, you agree on behalf of that business.

If you have signed a separate service agreement with us, that agreement controls where it conflicts with these Terms.

1. The Services

We help businesses plan, create, publish, and measure marketing, including social media content, messaging (SMS, WhatsApp, email, and voice), lead capture, and paid advertising on third-party platforms. Features may change over time.

2. Accounts and access

• You must provide accurate information and keep your login credentials secure.
• When you connect third-party accounts (such as Meta or Google), you authorize us to access and act on those accounts as needed to provide the Services. You can revoke access at any time in that platform's settings or by contacting us.
• You are responsible for activity under your account.

3. Your responsibilities

You agree that you, and any content or campaigns you approve, will:

• Comply with all applicable laws, including the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, Federal Trade Commission rules on advertising and endorsements, and state privacy and marketing laws.
• Only message people who have given the required consent, and honor opt-out requests promptly.
• Follow the policies of Meta, Google, Twilio, carriers, and any other platform used.
• Not include false, misleading, or unsubstantiated claims, including health or medical claims, and not post fake reviews or testimonials.
• Not send us protected health information, payment card data, or other sensitive personal information through the Services.
• Not use the Services for spam, harassment, unlawful content, or to infringe anyone's rights.

4. AI-generated content and approvals

The Services use artificial intelligence to help draft text, images, and other content. AI output can be inaccurate or similar to existing material. You are responsible for reviewing and approving content before it is published or sent, including prices, offers, hours, and any factual or professional claims.

5. Third-party platforms

The Services rely on third-party platforms that we do not control. We are not responsible for their availability, policy changes, ad approvals or rejections, account restrictions, or results. Advertising spend is billed by the ad platform to the payment method on your ad account unless otherwise agreed in writing.

6. Fees

Fees for our services are set out in your plan or service agreement. Unless stated otherwise, fees are billed monthly in advance and are non-refundable for the current billing period.

7. Intellectual property

• Your content: you keep ownership of your logos, photos, brand materials, and data. You grant us a license to use them to provide the Services.
• Deliverables: once paid for, content we create for you is yours to use for your business.
• Our platform: we own the Panoramic Nuggets platform, templates, and know-how. You may not copy, resell, or reverse engineer it.

8. Privacy

Our Privacy Policy explains how we handle information. When we process your customers' or leads' information, we do so as your service provider and only to provide the Services.

9. Disclaimers

The Services are provided "as is" and "as available." We do not guarantee specific results, such as leads, sales, followers, or ad performance. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of liability

To the fullest extent permitted by law, Panoramic Nuggets will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total liability for any claim relating to the Services will not exceed the fees you paid us in the three months before the claim arose.

11. Indemnification

You agree to defend and indemnify Panoramic Nuggets against claims arising from content or campaigns you approve, your violation of these Terms or the law, or messages sent to people who did not give the required consent.

12. Termination

Either party may end the Services as provided in your plan or service agreement. We may suspend access immediately if your use creates legal risk or violates these Terms or platform policies. When the Services end, we will disconnect your accounts and handle your data as described in our Privacy Policy.

13. Governing law

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in Westchester County, New York.

14. Changes

We may update these Terms. We will post the new version here with a new effective date. Continued use of the Services after changes take effect means you accept them.
